Terms of Service

1. Acceptance of Terms
By accessing or using any amuma application, website, or service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("you", "your", "User") and amuma ("we", "us", "our").
2. Description of Service
The Service is a free, cloud-based healthcare practice management tool provided as-is, without any charge. The Service includes, but is not limited to, patient record management, consultation tracking, photo storage, team collaboration features, and any related applications, APIs, websites, and documentation.
We reserve the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time, without notice, and for any reason or no reason at all.
3. No Warranties — Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Any warranty that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components;
- Any warranty regarding the accuracy, reliability, completeness, or usefulness of the Service or any content therein;
- Any warranty that defects in the Service will be corrected;
- Any warranty regarding the security or privacy of data transmitted through or stored by the Service.
We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free. You use the Service entirely at your own risk.
4. No Guarantee of Availability or Functionality
We make no representation or warranty that the Service will be available at any particular time or from any particular location. The Service may be subject to limitations, delays, interruptions, outages, data loss, and other problems inherent in the use of the internet, electronic communications, and cloud-based services.
We are not responsible for any delays, delivery failures, or other damage resulting from such problems. We have no obligation to maintain, support, update, or provide error corrections for the Service.
5. Assumption of Risk
You expressly acknowledge and agree that your use of the Service is at your sole risk. You are solely responsible for:
- All data you enter, upload, store, or transmit through the Service;
- Maintaining independent backups of any data stored within the Service;
- Ensuring your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction;
- All activity that occurs under your account, whether authorised by you or not;
- The accuracy, quality, and legality of data you process through the Service;
- Any clinical or professional decisions you make based on or in connection with the Service.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMUMA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:
- Loss of profits, revenue, data, goodwill, or other intangible losses;
- Loss or corruption of data, whether stored locally or in the Service;
- Business interruption or loss of business opportunity;
- Personal injury or property damage arising from your use of the Service;
- Any errors, mistakes, omissions, or inaccuracies in the Service;
- Any unauthorised access to or use of our servers and/or any personal information stored therein;
- Any interruption or cessation of the Service;
- Any bugs, viruses, or the like that may be transmitted through the Service;
- Any professional malpractice, negligence, or liability arising from your use of the Service in a healthcare or clinical context.
This limitation applies regardless of the legal theory upon which such damages are sought, whether based on contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Where applicable law does not allow the exclusion or limitation of liability, our liability shall be limited to the maximum extent permitted by such law. In jurisdictions that do not allow the exclusion of implied warranties, the above exclusions may not apply to you.
7. Indemnification
You agree to indemnify, defend, and hold harmless amuma and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or inability to use the Service;
- Your violation of these Terms;
- Your violation of any third-party rights, including intellectual property, privacy, or data protection rights;
- Any data you enter, process, or store through the Service;
- Any claim that your use of the Service caused damage to a third party;
- Your failure to comply with any applicable laws, regulations, or professional standards.
8. User Responsibilities and Prohibited Uses
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorised access to the Service, other accounts, or any connected systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Transmit any malicious code, viruses, or harmful data through the Service;
- Use the Service to store or transmit material that is infringing, libellous, or otherwise unlawful or tortious;
- Attempt to reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service to develop a competing product or service;
- Exceed reasonable usage limits or use the Service in a manner that could damage, disable, or impair the Service.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein. You acknowledge that no system is completely secure and that we cannot guarantee the absolute security of your data.
You are the data controller for any personal data you process through the Service. We act as a data processor on your behalf. You are solely responsible for ensuring that your use of the Service complies with all applicable data protection laws, including but not limited to GDPR, HIPAA, and any local equivalents.
10. No Professional Advice
The Service is a tool for record-keeping and practice management. It does not provide medical, legal, professional, or clinical advice. You acknowledge and agree that:
- The Service is not a substitute for professional judgement;
- You are solely responsible for all clinical and professional decisions;
- We are not liable for any outcomes resulting from your use of the Service in a clinical or professional context;
- We do not verify the accuracy or completeness of any data entered into the Service.
11. Intellectual Property
The Service, including its design, code, logos, trademarks, and all related intellectual property, is owned by amuma. Nothing in these Terms grants you any right, title, or interest in the Service beyond a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
You retain all rights to data you enter into the Service. By using the Service, you grant us a limited licence to host, store, and process your data solely for the purpose of providing the Service to you.
12. Termination
We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. You may stop using the Service at any time. Upon termination:
- Your right to use the Service ceases immediately;
- We may delete your data at any time after termination without notice;
- We have no obligation to retain or provide access to your data following termination;
- Sections 3, 4, 5, 6, 7, 10, 11, 14, and 15 of these Terms survive termination.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will make reasonable efforts to notify you of material changes, but are not obligated to do so. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which amuma operates, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, to the extent permitted by applicable law. You waive any right to participate in a class action lawsuit or class-wide arbitration against amuma.
Where arbitration is not permitted by law, disputes shall be submitted to the exclusive jurisdiction of the courts in the relevant jurisdiction.
15. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and amuma regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet disruptions, cyberattacks, or third-party service failures.
